These terms govern your use of rubikn.com and any professional services Rubikn provides. By accessing the site or engaging our services, you agree to these terms in full.

1. Who we are

Rubikn is a DBA of ulmaz LLC, a Delaware limited liability company registered at 651 N Broad St, Suite 201, Middletown, DE 19709, United States. Throughout these terms, "Rubikn," "we," "us," and "our" refer to ulmaz LLC operating under the Rubikn brand. You can reach us at contact@rubikn.com.


2. Changes to these Terms

We may update these terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated via email or a prominent notice on the site. Your continued use of the site or services after any update constitutes acceptance of the revised terms.


3. Privacy and cookies

Your use of the site is also governed by our Privacy Policy, which describes how we collect, use, and protect personal data. Please review it alongside these terms.


4. Eligibility

You must be at least 18 years of age to use this site or engage Rubikn's services. By accessing rubikn.com, you represent and warrant that you meet this requirement.


5. Permitted use of the Site

You may use rubikn.com for lawful purposes only. You agree not to:

  • Violate any applicable local, national, or international law or regulation.
  • Gain or attempt to gain unauthorized access to any part of the site, its servers, or any connected systems.
  • Interfere with or disrupt the integrity or performance of the site or its infrastructure.
  • Scrape, crawl, or use automated means to extract content from the site without prior written permission.
  • Copy, reproduce, or redistribute site content beyond what is permitted under these terms.
  • Upload, transmit, or introduce malware, viruses, or any other malicious code.

6. Intellectual property

All content on rubikn.com — including text, graphics, logos, frameworks, methodologies, page layouts, and software — is owned by Rubikn or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the site for your internal, non-commercial purposes. This license does not include the right to modify, reproduce, distribute, or create derivative works from any site content.


7. Downloads, playbooks, and free resources

Any downloadable materials, playbooks, templates, or free resources made available through the site are provided for your internal use only. You may not resell, redistribute, sublicense, or publicly share these materials without prior written consent from Rubikn.


8. Newsletter and marketing communications

If you subscribe to our newsletter or opt in to marketing communications, you consent to receiving emails from Rubikn. Every message includes an unsubscribe link — you can opt out at any time, and we will process your request promptly.


9. Your submissions

When you submit information through forms, emails, or any other channel, you represent that the information is accurate and that you have the right to share it. Any feedback, suggestions, or ideas you voluntarily provide to Rubikn may be used by us without restriction or obligation to compensate you.


10. Third-party links and tools

The site may contain links to third-party websites or integrate third-party tools. Rubikn does not control and is not responsible for the content, privacy practices, or availability of those external resources. Accessing them is at your own risk.


11. No professional advice

Content published on rubikn.com — including blog posts, case studies, playbooks, and free resources — is provided for informational purposes only. It does not constitute legal, financial, or professional advice. You should consult qualified professionals before making business decisions based on any material found on this site.


Service Terms

The following terms apply if you engage Rubikn for professional services. They supplement — and in the event of conflict, take precedence over — the site terms above.


12. Engagement structure and scope

Every Rubikn engagement is governed by a signed Statement of Work (SOW) that defines scope, deliverables, timeline, and fees. The SOW is the controlling document for a given engagement. In the event of a conflict between these terms and a SOW, the order of precedence is: (1) the SOW, (2) these Service Terms, (3) the Site Terms.


13. Client responsibilities

To enable Rubikn to deliver effectively, you agree to:

  • Provide timely access to the people, systems, data, and materials reasonably required for the engagement.
  • Deliver feedback and approvals within the timeframes outlined in the SOW.
  • Ensure you hold the necessary rights to any content, data, or materials you provide to Rubikn.

14. Fees, invoicing, and payment

Fees for each engagement are set out in the applicable SOW. Unless otherwise stated in the SOW, invoices are due within 5 days net of the invoice date. Late payments accrue interest at a rate of 5% per annum on the outstanding balance, calculated from the due date until the date of payment.


15. Scheduling, calls, and workshops

Calls, workshops, and other scheduled sessions will be arranged by mutual agreement. If either party needs to reschedule, reasonable advance notice is expected. Repeated no-shows or last-minute cancellations by the client may result in Rubikn adjusting the project timeline accordingly.


16. Change requests and out-of-scope work

Work not described in the SOW is considered out of scope. If you request additional work, Rubikn will provide a written change order detailing the scope, timeline, and fee adjustment. Out-of-scope work will not commence until the change order is agreed in writing by both parties.


17. Deliverables, review, and acceptance

Rubikn will deliver completed work in the format and timeline described in the SOW. Upon delivery, you have 5 business days to review and provide written feedback. If no feedback is received within that period, the deliverables are deemed accepted. Rubikn will address reasonable revision requests that fall within the original scope at no additional cost.


18. Intellectual property for client work

18.1 Client Materials

You retain all rights to any materials, data, content, and intellectual property you provide to Rubikn during the engagement ("Client Materials"). You grant Rubikn a limited, non-exclusive license to use Client Materials solely for the purpose of performing the engagement.

18.2 Rubikn Pre-Existing IP

Rubikn retains all rights to its pre-existing intellectual property, including frameworks, methodologies, tools, templates, and know-how that existed before the engagement or were developed independently of the engagement.

18.3 Project Deliverables

Upon full payment of all fees due under the applicable SOW, ownership of the custom deliverables created specifically for your engagement ("Project Deliverables") transfers to you. Until full payment is received, Rubikn retains ownership of all Project Deliverables.

18.4 License Back

You grant Rubikn a perpetual, non-exclusive, royalty-free license to use anonymized and aggregated learnings, patterns, and techniques derived from the engagement for the purpose of improving Rubikn's internal processes, methodologies, and future client work. This license does not include the right to disclose your confidential information.


19. Portfolio and public credit

Rubikn may reference the general nature of the engagement and display anonymized deliverable excerpts in its portfolio, case studies, and marketing materials. Rubikn will not use your name, logo, or identifying details without your prior written consent.


20. Use of AI and third-party platforms

Rubikn may use artificial intelligence tools, automation platforms, and third-party software in the delivery of its services. Where such tools process client data, Rubikn will take reasonable steps to ensure confidentiality and will not feed identifiable client data into public AI models without your consent.


21. No guarantees; results vary

While Rubikn applies rigorous methodology to every engagement, we cannot guarantee specific business outcomes, revenue increases, or market results. Performance depends on many factors outside Rubikn's control, including market conditions, competitive dynamics, and how recommendations are implemented.


22. Warranty disclaimer

All services and deliverables are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Rubikn does not warrant that the services will be uninterrupted, error-free, or that any defects will be corrected.


23. Limitation of liability

To the maximum extent permitted by applicable law, Rubikn's total liability arising out of or in connection with these terms or any engagement shall not exceed the fees actually paid by you to Rubikn under the applicable SOW during the twelve (12) months preceding the claim. In no event shall Rubikn be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.


24. Indemnification

You agree to indemnify, defend, and hold harmless Rubikn, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these terms, (b) your use of the site or services, or (c) any content or materials you provide to Rubikn.


25. Termination

Either party may terminate an engagement by providing 10 days' written notice to the other party. Upon termination, you are responsible for payment of all fees for work completed up to the effective date of termination. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.


26. Governing law

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.


27. Miscellaneous

  • Severability. If any provision of these terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Assignment. You may not assign your rights or obligations under these terms without Rubikn's prior written consent. Rubikn may assign its rights and obligations without restriction.
  • Entire agreement. These terms, together with the applicable SOW and Privacy Policy, constitute the entire agreement between you and Rubikn regarding the subject matter herein and supersede all prior agreements and understandings.
  • No waiver. Failure by Rubikn to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
