These Terms of Service (“Terms”) govern your access to and use of the website located at https://www.rubikn.com (the “Site”) and any content, downloads, and professional services provided by Rubikn (“Rubikn,” “we,” “us,” or “our”).

By accessing or using the Site, submitting a form, downloading materials, subscribing to updates, booking a call, or purchasing/using our services, you agree to these Terms. If you do not agree, do not use the Site.

2) Changes to these Terms

4) Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site or purchase our services.

You agree not to:

  • Violate any applicable law or regulation.
  • Attempt to gain unauthorized access to the Site, systems, or data.
  • Interfere with or disrupt the Site (including probing, scanning, or testing vulnerabilities).

We may suspend or block access if we believe you are misusing the Site or violating these Terms.


6) Intellectual property and Site content

The Site and all content on it (including text, visuals, branding, graphics, frameworks, articles, templates, and downloadable materials) are owned by Rubikn or its licensors and are protected by intellectual property laws.

Except as expressly allowed under these Terms, you do not acquire any ownership rights in our content.

Limited license: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site content for your internal, non-commercial evaluation purposes. Any other use requires our prior written consent.


7) Downloads, playbooks, and free resources

From time to time, we may provide downloadable materials (e.g., playbooks, blueprints, mini decks, checklists, templates) (collectively, “Downloads”).

Unless stated otherwise, Downloads are provided for your internal use only. You may not:

  • Resell, sublicense, or redistribute Downloads,
  • Publish them publicly (including posting them online), or
  • Remove proprietary notices.

We may change or discontinue any Download at any time.


8) Newsletter and marketing communications

If you subscribe to our newsletter or opt in to receive marketing communications, you agree that we may contact you as described at signup. You can unsubscribe at any time via the link in our emails or by emailing contact@rubikn.com.


9) Your submissions (forms, messages, feedback)

If you submit information via a form, email, or other channel (“Submissions”), you agree that:

  • Your Submissions are accurate to the best of your knowledge, and
  • You have the right to share the information you submit.

Feedback license: If you provide suggestions or feedback (e.g., ideas for improvements), you grant Rubikn a non-exclusive, worldwide, royalty-free license to use and incorporate that feedback without obligation to you.

Please do not submit sensitive personal information (e.g., government ID numbers) through Site forms unless we explicitly request it.


10) Third-party links and tools

The Site may link to third-party websites or services (e.g., scheduling tools, analytics tools, embedded content). We do not control these third parties and are not responsible for their content, policies, or practices. Your use of third-party services may be governed by their separate terms and privacy policies.


11) No professional advice

Site content (including articles, guides, and frameworks) is provided for general informational purposes and does not constitute legal, financial, medical, or other professional advice. You should consult qualified professionals before making decisions based on Site content.



Service Terms (apply if you hire Rubikn)


The sections below apply when you purchase or use our services (“Services”). If you are only browsing the Site, the Service Terms may not apply.


12) Engagement structure and scope

Services are typically provided under a separate written agreement, proposal, statement of work, or order form (each an “SOW”).

Order of precedence: If there is a conflict between these Terms and an SOW, the SOW controls for that engagement.


13) Client responsibilities

To deliver Services effectively, you agree to:

  • Provide timely access to information, accounts, and stakeholders reasonably needed for the project,
  • Provide feedback and approvals within agreed timelines, and
  • Ensure you have the rights to any content you provide (logos, images, copy, data, etc.).

Delays caused by missing inputs, late approvals, or incomplete access may impact timelines and/or fees.


14) Fees, invoicing, and payment

Fees, billing schedule, and payment terms are defined in your SOW. Unless otherwise stated in your SOW:

  • Invoices are due within [5] days of invoice date.
  • Late payments may incur interest at [5]% per month (or the maximum allowed by law), plus reasonable collection costs.
  • You are responsible for applicable taxes (VAT, sales tax, etc.), unless prohibited by law.

15) Scheduling, calls, and workshops

Consultations, workshops, and calls may be scheduled using third-party tools. You are responsible for attending scheduled sessions on time.

Rescheduling/cancellation: [“no guarantees.”]


16) Change requests and out-of-scope work

Any work not included in the SOW is “Out-of-Scope.” Out-of-Scope work may require:

  • A change order,
  • A revised SOW, or
  • Additional fees billed at a new fixed scope.

17) Deliverables, review, and acceptance

Deliverables (e.g., research briefs, positioning frameworks, messaging, brand systems, design assets, landing pages, funnel maps, conversion recommendations, dashboards, or other outputs) are defined in your SOW (“Deliverables”).

Unless stated otherwise:

  • You will review Deliverables within [5] business days of delivery.
  • If we do not receive feedback within that period, Deliverables may be deemed accepted.

18) Intellectual property for client work

This section sets a clear default; adjust it based on how you actually operate.

18.1 Client Materials
You retain ownership of materials you provide to us (logos, copy, brand assets, data, etc.) (“Client Materials”). You grant Rubikn a limited license to use Client Materials solely to perform the Services.

18.2 Rubikn Pre-Existing Materials
Rubikn retains ownership of any pre-existing tools, templates, frameworks, processes, code libraries, know-how, and methodologies we use or adapt during an engagement (“Rubikn Materials”).

18.3 Project Deliverables
Upon full payment of all amounts due, you own the final Deliverables created specifically for you under the SOW, excluding Rubikn Materials and third-party components (e.g., stock assets, fonts, licensed software), which remain owned by their respective owners.

18.4 License back to Rubikn (optional but common)
Unless prohibited by your SOW, you grant Rubikn a non-exclusive right to reference the engagement at a high level (e.g., industry, problem solved) and to use non-confidential learnings to improve our internal methods.


19) Portfolio and public credit (optional)

Unless your SOW says otherwise (e.g., NDA), you grant Rubikn permission to display the completed work (or excerpts) in our portfolio/case studies and to use your name and logo as a client reference.

If you need confidentiality, request it in writing before project start.


20) Use of AI and third-party platforms (optional but recommended)

Rubikn may use third-party tools (including automation and AI-assisted tools) to support research, drafting, analysis, design, or measurement.

If you provide confidential information and require restrictions on tool usage (e.g., no AI processing, specific vendors only), you must notify us in writing, and we’ll confirm feasibility in the SOW.


21) No guarantees; results vary

We provide professional services and strive for high-quality work, but we do not guarantee specific business outcomes (e.g., revenue, conversion rates, rankings, sales volume, funding outcomes, or performance metrics). Outcomes depend on many factors outside our control, including your product, market, pricing, competition, traffic quality, sales execution, and implementation choices.


22) Warranty disclaimer

To the maximum extent permitted by law, the Site, Downloads, and Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


23) Limitation of liability

To the maximum extent permitted by law:

  • Rubikn will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, loss of data, or business interruption).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.


24) Indemnification

You agree to defend, indemnify, and hold harmless Rubikn and its team from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:

  • Your misuse of the Site,
  • Your breach of these Terms, or
  • Your infringement or violation of any rights of a third party (including from Client Materials you provide).

25) Termination

We may suspend or terminate your access to the Site at any time if we believe you violated these Terms.

Service engagements may be terminated as specified in the SOW. If not specified, either party may terminate with [10] days written notice. You remain responsible for fees for work performed and any non-cancellable commitments incurred up to the termination date.


26) Governing law and dispute resolution

These Terms are governed by the laws of [Delaware], without regard to conflict of laws rules.

Venue: Any disputes will be brought in the courts located in [Middletown, Delaware, USA], and you consent to jurisdiction there.


27) Miscellaneous

  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
  • Entire agreement: These Terms (and any SOW) are the entire agreement regarding their subject matter.
  • No waiver: Failure to enforce a provision is not a waiver.
